Digital Image Commercial Use License
This Commercial Use License Agreement (“Agreement”) is made between BFAM Crafts (“Licensor”) and you (“Purchaser”,”Customer”) to also be referenced as “Licensee”. By purchasing, downloading, or using the digital image described below (“Image”), the Licensee agrees to the terms of this Agreement.
1. Grant of Licence
The Licensor grants the Licensee a non-exclusive, non-transferable licence to use the Image for commercial purposes, subject to the terms outlined in this Agreement.
2. Permitted Commercial Uses
The Licensee may use the Image for:
•Marketing and advertising materials (e.g., flyers, brochures, social media campaigns).
•Product packaging and labelling.
•Websites, blogs, and online stores.
•Digital or physical merchandise for resale (e.g., T-shirts, mugs, posters).
•Commercial presentations, branding, or promotional materials.
3. Prohibited Uses
The Licensee may not:
•Resell, sublicense, or redistribute the Image as-is or in a similar format (e.g., as a digital download or stock image).
•Use the Image in a manner that is unlawful, defamatory, or infringes on the rights of others.
•Use the Image in a way that suggests endorsement by the Licensor without explicit permission.
•Claim ownership of the Image or create derivative works for the purpose of competing with the Licensor.
4. Ownership and Copyright
The Image remains the sole property of the Licensor. This Agreement grants the Licensee usage rights but does not transfer ownership or copyright. All rights not expressly granted herein are reserved by the Licensor.
5. Attribution
If required by the Licensor, the Licensee must credit the Licensor in all publicly displayed uses of the Image, such as:
“Image by BFAM Crafts. Used under commercial licence.”
6. Restrictions on Alteration
The Licensee may alter or modify the Image for use in commercial projects, provided the modifications do not violate copyright laws or diminish the integrity of the original work.
7. Duration of Licence
This licence is effective from the date of purchase or download by the Licensee. The licence remains valid indefinitely unless otherwise stated in the purchase agreement or terminated by the Licensor due to a breach of this Agreement.
8. No Warranty
The Image is provided “as is,” without warranties of any kind, express or implied. The Licensor disclaims liability for any damages arising from the use or inability to use the Image.
9. Indemnification
The Licensee agrees to indemnify and hold harmless the Licensor from any claims, damages, or liabilities arising from the use of the Image in violation of this Agreement.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
By using the Image, the Licensee acknowledges and agrees to the terms of this Agreement.
